Contract Specialist


Special Counsel is seeking a dynamic Contract Specialist to work for a science-based company. If you are a team player and go getter who is willing to ask questions and find answers, we want to hear from you!


Duties /Responsibilities:


• Draft, manage, review, and respond to RFPs or customer terms & conditions as needed.


• Drive contract lifecycle from drafting through completion of the negotiation process, and contract execution.


• Maintain a deep understanding of Meissner contract templates, contracts policy, legal risk and liability, and the Company position on potential exposure.


• Manage contract change control process to ensure the right approval channel for contractual changes based on internal delegations and change control procedures.


• Prepare contracts for internal review and approval and ensure compliance with company policies as well as applicable laws or regulations.


• Interpret contracts and advise stakeholders on contractual responsibilities.


• Work closely with relevant stakeholders to develop and improve applicable standardized forms, processes, and procedures.


• Develop and manage Contract Management Tools and procedures, input completed contracts into the contract management system and capture key terms, expiry dates and required actions.


• Maintain records for correspondence and documentation in relation to established contracts and those in progress.


• Provide regular reporting and management information on contracts to senior management.


• Draft, evaluate, negotiate and execute a variety of contracts based on agreed templates covering a range of transactions including master supply agreements (MSA), equipment loan agreements, material transfer agreements (MTA), consulting agreements, non-disclosure agreements (NDA) and other commercial and technology related agreements including those from supply chain partners.


Qualifications/Requirements:


• Minimum of [3] years of relevant experience. Experience working in the pharmaceutical and life sciences sectors strongly desired.


• [BA/BS required]. A paralegal background / experience is essential.


• Good understanding of contract structure, commercial terms, risks and obligations.


• Ability to manage contract production to a plan and manage a workflow of multiple contracts.

  • Compensation:

  • Min: 75,000.00
  • Max: 90,000.00

  • Work Hours:

  • Mon-Fri, 8am-5pm (with flexibility)
